LeadHeed Terms of Service

Welcome to LeadHeed (“we,” “our,” “us”). These Terms of Service (“Terms”) govern your use of the LeadHeed platform, available at https://leadheed.com (the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use our Platform.
1. Account Registration and User Obligations
The Platform is operated from Hong Kong and is primarily intended for business users. If you access the Platform from outside Hong Kong, you are responsible for compliance with your local laws in addition to Hong Kong laws, where applicable.
You represent that you are at least 18 years old and are using the Platform for business or professional purposes.
1.1 Account Creation
- Users must create an account to access certain features.
- You must provide accurate, complete, and current information.
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to notify LeadHeed immediately of any unauthorized use of your account.
1.2 User Obligations
Use the Platform lawfully, ethically, and in compliance with these Terms and all applicable laws in your jurisdiction.
When using LeadHeed’s messaging and communication features, you agree to:
- Comply with all applicable laws governing electronic communications, including anti-spam regulations in your jurisdiction
- Comply with the platform policies of any third-party services you connect to LeadHeed, including Meta Platform Policy (facebook.com/policies), WhatsApp Business Policy (whatsapp.com/legal/business-policy), Instagram Platform Policy, and any other applicable third-party terms
- Obtain all necessary and lawful consents from your end users before initiating any communication through any channel
- Only contact individuals who have provided valid consent to receive messages from your business
- Ensure all messaging content is accurate, lawful, and not misleading
Failure to comply with third-party platform policies – including Meta’s policies – may result in suspension or termination of your LeadHeed account in addition to any action taken by the relevant third-party platform.
1.3 Prohibited Activities
You agree not to use the Platform or any of its messaging features to:
- Send unsolicited messages, spam, or bulk communications to individuals who have not provided consent
- Send harassing, threatening, abusive, defamatory, or discriminatory content to any individual
- Transmit unlawful content including content that violates intellectual property rights, privacy rights, or applicable laws
- Impersonate any person, business, or entity in communications sent through the Platform
- Send messages that violate Meta Platform Policy, WhatsApp Business Policy, or Instagram Platform Policy
- Engage in phishing, fraud, or any deceptive messaging practice
- Use messaging channels for any purpose prohibited by the underlying platform provider
- Reverse engineer, decompile, or attempt to extract source code from the Platform
- Access accounts or data of other users without authorisation
- Interfere with or disrupt the integrity or performance of the Platform
- Engage in automated data scraping, crawling, or harvesting without express written permission
- Create or use unauthorised bulk contact lists obtained from third-party sources
2. Intellectual Property and Content
2.1 Platform IP Rights
- All software, technology, content, and documentation on the Platform are owned by LeadHeed or its licensors.
- All rights, title, and interest in the Platform remain the exclusive property of LeadHeed.
- “LeadHeed”, the LeadHeed name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks or registered trademarks of LeadHeed (or its licensors). You must not use such trademarks without prior written permission from LeadHeed.
- All rights, title, and interest in and to the Platform, including all intellectual property rights, remain the exclusive property of LeadHeed or its licensors. Except as expressly permitted under these Terms, no rights are granted to you in relation to the Platform or its intellectual property.
2.2 User Content
- You retain ownership of any content you upload, post, or transmit via the Platform (“User Content”).
- By uploading User Content, you grant LeadHeed a worldwide, non-exclusive, royalty-free licence to use, reproduce, and display your content to provide the Platform services.
- You warrant that you have the rights necessary to grant such a licence.
3. Data Security & Encryption
We take the security of data processed through the CRM seriously and implement appropriate technical and organisational measures to protect information against unauthorised access, loss, misuse, alteration, or disclosure, in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong (PDPO).
Our data security standards include, but are not limited to:
3.1 Encryption in Transit and at Rest
All data transmitted to and from the CRM is protected using industry-standard encryption protocols. Sensitive data stored within the platform is encrypted at rest using strong encryption standards.
3.2 Access Control & Authentication
Access to CRM data is restricted to authorised users only, using role-based access controls (RBAC). Authentication mechanisms may include strong password policies, multi-factor authentication (MFA), and session management controls.
3.3 Infrastructure & Network Security
The CRM is hosted on secure infrastructure protected by firewalls, intrusion detection and prevention systems (IDPS), and regular vulnerability monitoring.
3.4 Data Segregation & Confidentiality
Customer data is logically segregated to prevent unauthorised cross-access between accounts. Confidential information is handled in accordance with applicable Hong Kong data protection laws.
3.5 Monitoring, Logging & Auditing
System activity is logged and monitored to detect suspicious behaviour, unauthorised access attempts, and potential security incidents.
3.6 Regular Security Testing
We conduct periodic security reviews, vulnerability assessments, and penetration testing to identify and remediate potential risks.
3.7 User Responsibility
Users are responsible for maintaining the confidentiality of their login credentials and ensuring appropriate security measures are applied on their own devices and networks.
4. Email Policy
4.1 Genuine Use
LeadHeed requires all users to use email functionality responsibly and genuinely.
Accounts with high email bounce rates exceeding acceptable limits may be restricted from sending further emails.
4.2 Compliance with Hong Kong Anti-Spam Regulations
Users must comply with:
- The Unsolicited Electronic Messages Ordinance (Cap. 593); and
- The Personal Data (Privacy) Ordinance (Cap. 486); and LeadHeed’s Anti-Spam Policy.
Emails may only be sent to recipients who have provided valid consent or where otherwise permitted under Hong Kong law.
4.3 Monitoring and Enforcement
LeadHeed monitors email activity using automated tools to maintain system integrity and reputation.
In case of violations, LeadHeed may:
- Block emails from your account;
- Temporarily suspend or permanently terminate your account.
4.4 Responsibility
Users are responsible for ensuring that emails do not contain illegal content or spam.
LeadHeed is committed to maintaining a secure, reliable, and reputable platform.
5. Short Message Service (SMS) System Notifications
5.1 Purpose
By using SMS notifications, you agree to receive alerts regarding tasks, meetings, calls, appointments, or other account-related updates.
5.2 Frequency
SMS notifications are sent according to the notification preferences set in your LeadHeed account. Users may modify these preferences at any time.
5.3 Delivery Limitations
LeadHeed and network providers are not liable for any delays, non-delivery, or errors in SMS message delivery.

6. Use of Services
LeadHeed provides a cloud-based customer relationship management (CRM) and communication platform (“Services”). By accessing or using the Services, you agree to comply with these Terms.
6.1 Scope of Services
The Services may include, without limitation:
- CRM and contact/lead management
- Messaging and communication features
- Campaign management and automation workflows
- Reporting and analytics
- Integrations with third-party tools and APIs
- User, account, and team management features
The availability of features depends on the plan you select. LeadHeed may modify, enhance, or discontinue any part of the Services from time to time with reasonable notice where required by law.
6.2 Acceptable Use of Messaging Services
LeadHeed provides access to omnichannel messaging integrations including WhatsApp Business Platform, Facebook Messenger, and Instagram Messaging. Your use of these integrations is subject to the following:
User Accountability
You are solely responsible for all messages sent through your LeadHeed account via any connected messaging channel. LeadHeed acts as a platform provider and does not review, endorse, or take responsibility for the content of messages sent by users.
Third-Party Platform Compliance
By connecting any third-party messaging channel to LeadHeed, you agree to comply with the terms, policies, and guidelines of that platform provider. This includes but is not limited to:
- Meta Platform Policy: developers.facebook.com/terms
- WhatsApp Business Policy: whatsapp.com/legal/business-terms
- Instagram Platform Policy: help.instagram.com/804539313233571
LeadHeed reserves the right to suspend or terminate access to any messaging integration if we determine, in our reasonable judgement, that your use violates applicable third-party platform policies.
Consent and Opt-Out
You must obtain valid, documented consent from all recipients before initiating outbound messaging. You must provide recipients with a clear and easy method to opt out of future communications and must honour all opt-out requests promptly.
Prohibited Messaging Content
The following content is strictly prohibited across all messaging channels on LeadHeed:
- Spam or unsolicited commercial messages
- Harassing, abusive, or threatening messages
- Fraudulent, deceptive, or misleading content
- Content that violates any applicable law or regulation
- Content that violates the policies of the underlying messaging platform
6.3 High-Risk Activities
The Platform is not intended for, and may not be used in connection with, any high-risk activities, including but not limited to emergency services, life support systems, or any other applications where failure of the Platform could result in physical harm or injury. You agree not to use the Platform for such purposes, and you acknowledge that LeadHeed assumes no liability for any service failure that occurs in these high-risk scenarios.
6.4 Free Trial
LeadHeed offers a 14-day free trial to eligible users.
- No payment method is required to start the free trial
- Users receive access to Pro Plan features during the trial period
- The free trial does not automatically convert to a paid subscription
At the end of the 14-day trial, access to paid features will be restricted unless you manually upgrade your account by selecting a subscription plan and providing valid payment details.
6.5 Subscriptions and Billing
Some Services require a paid subscription. LeadHeed offers monthly and annual billing cycles.
All fees are billed in USD, charged in advance of each billing period, and are exclusive of taxes.
You authorise LeadHeed to charge your nominated credit or debit card for applicable fees. Prices may change from time to time, and LeadHeed will notify you in advance of any pricing updates, which will apply from the next billing cycle.
Subscription Cancellation and Downgrade/Upgrade
Subscription Cancellation:
- If you cancel your subscription before the renewal date, your subscription will remain active until the end of the current billing period, and no further charges will apply. If you restore your subscription at a later time, it will be reactivated as per the original terms.
- If you cancel your subscription after the renewal date and there is a due amount, you are required to pay the outstanding balance for the current billing cycle.
Plan Upgrade:
If you upgrade your plan, the cost will be prorated based on the remaining time in the current billing period.
Plan Downgrade:
If you downgrade your plan, the new plan will take effect from the next billing cycle.
6.6 Taxes
Taxes may apply depending on your location. You are responsible for any applicable taxes, duties, or governmental charges imposed by your jurisdiction.
6.7 Non-Payment and Suspension
If payment is not successfully processed when due, LeadHeed reserves the right to suspend or restrict access to the Services until payment is received
6.8 Cancellation and Refunds
You may cancel your subscription at any time through your account dashboard. Cancellations take effect at the end of the current billing period. Refunds, if any, are governed by the LeadHeed Refund Policy.
6.9 Account Suspension and Termination
LeadHeed reserves the right to suspend, restrict, or permanently terminate your account with immediate effect and without prior notice where:
- You violate any provision of these Terms
- You violate the policies of any third-party platform connected to LeadHeed, including Meta Platform Policy or WhatsApp Business Policy
- Your messaging activity results in high complaint rates, spam reports, or abuse flags on any connected channel
- Your account is used to send harassing, unlawful, or prohibited content
- Your account poses a risk to the integrity, security, or reputation of the Platform or its users
- Required to do so by applicable law or by a third-party platform provider
Where suspension or termination occurs due to policy violation, refunds will not be issued for any remaining subscription period. LeadHeed will not be liable for any loss or damage arising from account suspension or termination carried out in accordance with these Terms.
7. Disclaimers and Limitation of Liability
7.1 Disclaimers
- The Platform is provided “as is” and “as available.”
- LeadHeed makes no warranties regarding uninterrupted access, accuracy, or reliability.
- LeadHeed does not guarantee any specific business outcomes from using the Platform.
7.2 Limitation of Liability
To the maximum extent permitted by applicable Hong Kong law, LeadHeed’s total liability shall not exceed the total fees paid by you for the service in the 12 months immediately preceding the event giving rise to the claim. LeadHeed shall not be liable for any indirect, incidental, special, or consequential damages. However, nothing in this agreement shall exclude or limit liability for personal injury or death caused by LeadHeed’s negligence.
Nothing in these Terms limits or excludes liability for:
- Fraud or fraudulent misrepresentation;
- Breach of the Personal Data (Privacy) Ordinance (Cap. 486) where liability cannot be excluded;
- Gross negligence or wilful misconduct; or
- Any liability that cannot be lawfully limited or excluded under Hong Kong law.
8. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region (HKSAR).
Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to the courts of Hong Kong.
9. Changes to Terms
LeadHeed may update these Terms from time to time. Changes will be communicated via the Platform or email. Continued use of the Platform constitutes acceptance of updated Terms.
10. Miscellaneous
- Severability: If any provision is invalid or unenforceable, the remaining provisions remain valid.
- Entire Agreement: These Terms constitute the entire agreement between you and LeadHeed regarding the Platform.
- No Waiver: Failure to enforce any provision does not waive future enforcement.
